PATHFINDER News - June 2003

To all our valued PATHFINDER members and employers

PATHFINDER implemented new system enhancements during the latter part of 2002 to ensure that we provide state-of-the-art service to all our members. We experienced some teething problems in the beginning of 2003 and want to thank you for your support and patience.

We also embarked on a contribution reconciliation process in February 2003, following our annual financial audit. This process proved valuable to the Scheme and we were able to reduce our outstanding debts.

The Scheme has the commitment of its administrator, Mx Health to improve current service levels. PATHFINDER will strive to provide an affordable medical scheme that is truly South African in the way we understand, communicate and deliver through creative solutions, while meeting our responsibility of informing, protecting and caring.

Annual General Meeting

PATHFINDER Medical Scheme is a not-for-profit entity, set up to pay for member’s medical expenses. The Scheme is owned by its members and managed by a Board of Trustees.

On behalf of the PATHFINDER Board of Trustees, we want to invite you to attend the second Annual General Meeting (AGM) of PATHFINDER Medical Scheme. The second AGM will take place on Wednesday, 6 August 2003 at 18:00 at the following venue:

Our first AGM was held on 30 August 2002 during which our first Board of Trustee members were elected. One of our member representatives of the Board resigned the end of January 2003 and we need to fill the vacancy.

We want to take this opportunity to explain some of the duties of a member representative of the Board as well as the purpose of our AGM.

PATHFINDER Board of Trustees

The PATHFINDER Board of Trustees consists of at least six (6) persons who are fit and proper to be trustees. As is the norm within the industry, half the Board consists of member representatives and the other half of employer representatives. PATHFINDER has three employer representatives on the Board and two member representatives. The Board has a vacancy for one member representative.

The member trustee must be a member of PATHFINDER Medical Scheme and will be elected by the members of the Scheme. The following persons are not eligible to serve as members of the Board:

Duties of the Board of Trustees

The Board is responsible for the proper and sound management of PATHFINDER in terms of the Rules of the Scheme. The Board must act with due care, diligence, skill and in good faith and apply sound business principles to ensure financial soundness of the Scheme.

The Board must also ensure that adequate and appropriate information is communicated to all members regarding their rights, benefits, contributions and duties. It is important for the Board to act impartially in respect of all members of PATHFINDER.

Proxy and Nomination forms for the PATHFINDER Annual General Meeting

All members of PATHFINDER Medical Scheme have the right to attend the Annual General Meeting on 6 August 2003.

We do understand that some PATHFINDER members will not be able to attend in person. You can appoint another member of the Scheme to attend, speak and vote on your behalf at the AGM. All you need to do is complete the proxy form (refer to page 4 of the Annual Report) and send it to our physical address:

The fully completed proxy form must reach us no later than 30 July 2003.

We have also included a nomination form, should you be interested in becoming a member representative of the PATHFINDER Board (refer to page 3 of the Annual Report). Please read the conditions carefully to ensure that you are eligible to serve as member representative. All nominations must be delivered to PATHFINDER Medical Scheme at:
